Terms of Service

By accessing or using our website, requesting a quote, or engaging Boson Tech Pvt. Ltd. for any project, you agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Boson Tech provides a range of technology services, including:

• Website development
• Mobile app development
• AI solutions
• Game development
• Digital marketing
• Custom software development
• UI/UX design
• Cloud solutions
• Technical consulting

The specific scope, deliverables, and terms of any engagement will be set out in a separate proposal, statement of work, or contract agreed upon between Boson Tech and the client.

Any quotation, estimate, or proposal provided by Boson Tech is an approximation based on the information available at the time and does not constitute a fixed price unless explicitly stated otherwise in a signed agreement. Changes to project scope, requirements, or timelines after a quote has been issued may result in adjustments to the final pricing.

To enable Boson Tech to deliver services effectively, clients agree to:

• Provide accurate and complete information relevant to the project
• Supply required content, assets, and materials in a timely manner
• Respond to requests for feedback within a reasonable timeframe
• Provide necessary approvals and sign-offs at agreed project milestones

Delays caused by a client's failure to meet these responsibilities may affect project timelines and are not the responsibility of Boson Tech.

Unless otherwise agreed in writing, ownership of intellectual property is governed as follows:

• Upon full and final payment, the client owns the final deliverables created specifically for their project.
• Boson Tech retains ownership of its internal tools, proprietary frameworks, reusable code libraries, templates, and general development methodologies used in the course of delivering a project, even where these are incorporated into a client's deliverables.

Boson Tech may request permission to reference completed projects in its portfolio, case studies, or marketing materials, unless the client requests otherwise in writing.

Payment schedules, including deposits and milestone-based payments, will be specified in the applicable proposal or contract. Clients are responsible for making payments on time as agreed. Late payments may result in a pause of project work until outstanding amounts are settled and may be subject to late fees where specified in the agreement. Clients are also responsible for any applicable taxes associated with the services provided, unless stated otherwise.

Estimated project timelines are provided in good faith based on the information available at the start of a project. Actual timelines may be affected by factors including, but not limited to, client approvals, changes in project scope, and delays caused by third-party services or providers. Boson Tech will communicate any significant changes to the timeline as soon as practicable.

Each project engagement includes a reasonable number of revisions as defined in the applicable proposal or contract. Requests for changes or additional work that fall outside the originally agreed project scope may be treated as a new work item and may incur additional charges, subject to mutual agreement before work begins.

Our services may rely on or integrate with third-party platforms and providers, including Google, Apple, Amazon Web Services (AWS), Cloudflare, Vercel, and various payment gateways. Boson Tech is not responsible for any downtime, service interruptions, policy changes, or pricing changes made by these third-party providers, as they are outside of our direct control.

Boson Tech provides its services with reasonable skill, care, and professionalism in accordance with generally accepted industry standards. However, we do not guarantee that our services or the software we develop will be uninterrupted, error-free, or available at all times, as performance may be affected by factors beyond our reasonable control, including third-party infrastructure.

To the maximum extent permitted by applicable law, Boson Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to the use of our website or services. Our total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

Both Boson Tech and the client agree to keep confidential any non-public business, technical, or financial information disclosed during the course of an engagement, and to use such information solely for the purpose of fulfilling the project. This obligation continues even after the completion or termination of the engagement, except where disclosure is required by law.

Either party may terminate a project engagement in accordance with the termination provisions set out in the applicable proposal or contract. Upon termination, any outstanding balances for work completed up to the point of termination remain payable by the client. Boson Tech will make reasonable efforts to hand over completed work product upon receipt of full payment.

These Terms are governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Nepal.
